Desktop Font License

This End User License Agreement (EULA) stipulates the conditions under which Undercase Type (UCT) is willing to grant you the end user (You) a license or licenses of the Font Software (Font) for Desktop use. By purchasing the Font, you are agreeing to these terms.

1. No Expiry

There is no expiry to this Agreement or its terms, so You may use the Fonts in perpetuity with no further licensing costs. There is no geographic limitation to this Agreement, You may use the Fonts worldwide.

2. Permitted Uses & Restrictions

2a. Installation

UCT grants You a revocable, non-exclusive, non-transferable, limited right to install and use the Font on the number of workstations specified on your sales receipt. Any agencies, studios, sub-contractors, affiliates, or vendors of the Licensee (You), or organizations owned by the Licensee, must acquire their own seperate licenses.

2b. Authorised Use

Permitted use of the Font Software for desktop use includes print publications, advertising, images for print and web (static/rasterized images), packaging, marketing, film and video, and any other medium in which the font software is not embedded within the medium. If furnishing the manufacturer/printer (Vendor) with the Font is required in order to reproduce a document, You may supply a copy of the font. Afterwards, You and Vendor must take steps to ensure copies have been destroyed.

2c. Embedding of Fonts

Embedding of Fonts in digital/PDF documents is allowed as long as 1) the Font Software is subset, 2) the document text can be viewed and printed but not edited, and 3) reasonable measures are taken to ensure recipients of documents cannot extract or use the embedded Fonts.

2d. Web License, App License, Products

Use of the Font, as noted below, is prohibited without first obtaining a seperate license from UCT: (a) alphabet related products (Custom License); (b) embedding in websites and apps (Web License), or embedding in software and devices (App License).

2e. Modifications

You may create outline artworks based upon the Fonts for Your personal or business use. You may not: (a) decompile, reverse engineer, or disassemble the Font; (b) make any modification, adaptation, improvement, enhancement, translation or derivative work from the Font.

3. Warranties & Limitations

Under no circumstances will UCT be liable for any indirect damages arising from use of the Font. UCT cannot be held responsible for any damages caused or borne by the end user and/or third parties resulting from misuse of the Font software and/or packages described above. Examples of misuse would include any modification, decompiling, or alteration to the Font software without UCT’s approval.

This Font is copyrighted and contains intellectual property of UCT. You are not allowed to reproduce, sell, transfer, license, sublicense, give away, or distribute the Font.

4. Termination

This EULA remains effective until expiration or termination. This EULA will immediately terminate upon notice if You exceed the scope of license granted or otherwise fail to comply with all Sections of agreement. You may terminate this EULA at any time by returning or certifying removal of all copies of Font from computer or workstations and providing notice to UCT. Purchase of Font is non-refundable, and termination of EULA by UCT or You does not entitle you to a refund.

5. Choice of Law

This agreement is governed by the laws of the United States of America and the state of Colorado.

Web Font License

This End User License Agreement (EULA) stipulates the conditions under which Undercase Type (UCT) is willing to grant you the end user (You) a license or licenses of the Font Software (Font) for Web use. By purchasing the Font, you are agreeing to these terms.

There is no expiry to this Agreement or its terms, so You may use the Fonts in perpetuity with no further licensing costs. There is no geographic limitation to this Agreement, You may use the Fonts worldwide.

2. Permitted Uses & Restrictions

2a. Installation

UCT grants You a revocable, non-exclusive, non-transferable, limited right to use the Web Font in accordance with the terms and conditions of this agreement—prices are based on number of unique visitors per month. For the use of the Font within additional websites or for a page usage level greater than You have licensed you must increase use/page view rights. If at any time your use of the Font exceeds that permitted in Your license, you agree to immediately notify UCT and purchase the proper license.

2B. Authorised Use

The Web Font Software may be used for styling text on Your website via the CSS @font-face rule for the domain specified on Your Sales Receipt. Only the WOFF (“.woff”, “.woff2”, Web Open Font Format) Web Font files provided by UCT may be used. The use of alternate formats (such as TTF, SVG, or OTF) is expressly prohibited. Viewing and printing pages of the website using the Web Fonts is allowed. However, providing the ability for a remote user to edit text using the Web Fonts is not permitted.

2c. No Modifications, No Embedding

You are not permitted to modify, adapt, translate, reformat, reverse engineer, decompile, disassemble, alter or attempt to discover the computer code of the Web Fonts or the designs embodied therein. The embedding or inclusion of UCT Web Fonts, or the designs forming the Web Fonts, in software, hardware, digital documents, apps, applications, devices or in any other form is prohibited.

2D. Web Usage Only

The use of Web Fonts on a desktop, laptop, workstation computer is prohibited. If You wish to use the Fonts in a manner not described on this licence, You must secure a separate licence and/or a extension.

2E. Development Environment

You may use the Web Fonts in a secure development environment related to the domain specified on Your license and controlled by You. You may not: (a) convert the Web Fonts into other formats; (b) lend, or allow use of the Font via hot linking or unauthorized acess.

2E. transfer of licensed domain

You may transfer the rights to use the Web Fonts to a different domain owned by You and the content of which You control. The transfer must be notifed in writing to UCT, and You must delete the Web Fonts from the server on the previously licensed domain. Transfer of this licence to a third party is not permitted.

Trial License

This End User License Agreement (EULA) stipulates the conditions under which Undercase Type (UCT) is willing to grant you the end user (You) a license or licenses of the Trial Font Software (Trial Font) for Desktop use. By downloading the Trial Font, you are agreeing to these terms. Trial Fonts are intended to be used for evaluation and mock-up designs only.

1. Permitted Uses & Restrictions

1a. Installation

UCT grants You a revocable, non-exclusive, non-transferable, limited right to install and use the Trial Font on any number of workstations for evaluation and mock-up designs only. Any agencies, studios, sub-contractors, affiliates, or vendors of the Licensee (You), or organizations owned by the Licensee, must acquire their own separate licenses.

1b. Authorized Use

Permitted use of the Trial Font Software are for any mediums (digital, web, or app) for internal and evaluation purposes only. You or your organization may not use this Trial Font for any public facing designs, or for internal purposes in which go beyond evaluation and mock-ups.

1e. Modifications

You may may not create outline artworks based upon the Trial Fonts for Your personal or business use. You may not: (a) decompile, reverse engineer, or disassemble the Trial Font; (b) make any modification, adaptation, improvement, enhancement, translation or derivative work from the Trial Font.

2. Warranties & Limitations

UCT cannot be held responsible for any damages caused or borne by the end user and/or third parties resulting from misuse of the Trial Font software and/or packages described above. This Trial Font is copyrighted and contains intellectual property of UCT. You are not allowed to reproduce, sell, transfer, license, sublicense, give away, or distribute the Trial Font.

3. Termination

This EULA remains effective until expiration or termination. This EULA will immediately terminate upon notice if You exceed the scope of license granted or otherwise fail to comply with all Sections of agreement. You may terminate this EULA at any time by returning or certifying removal of all copies of Trial Font from computer or workstations and providing notice to UCT.

4. Choice of Law

This agreement is governed by the laws of the United States of America and the state of Colorado.
